IE News Service License Agreement

STATE OF NORTH CAROLINA, COUNTY OF MECKLENBURG

This License Agreement, (hereinafter “Agreement”) is entered into by and between you, (hereinafter “User”) and IE News Service, LLC (d/b/a InstantEdits.com) (hereinafter “Provider”).

            WHEREAS Provider is in the business of providing editorial content services (hereinafter “Services”); and

            WHEREAS User desires to utilize the services provided by Provider; and

            WHEREAS Provider has agreed to allow User to utilize the Services in accordance with this Agreement upon execution of this Agreement; and

            WHEREAS User is executing this Agreement by downloading, copying or in any manner using content,  User agrees to be bound by the terms of this Agreement.

            NOW THEREFORE in consideration of the mutual promises, covenants and conditions set forth herein, the parties hereto do accept, acknowledge and agree to be bound by the terms and conditions set forth in this Agreement on behalf of themselves, their successors and assigns as follows:

  1. Access of Information.   Accessing or downloading the content available on www.instantedits.com constitutes User’s acceptance of the terms and conditions of this agreement. *Please review this page regularly, as IE News Service reserves the right to modify or amend this Agreement without notice at any time.
  2. License to Use of Information.  Editorial content offered by Provider is offered free of charge for the editorial use only of media professionals who are Users and registered members of www.InstantEdits.com and who agree to the terms of this agreement. Usage of text and photos is limited to noncommercial editorial purposes. All text, photos, graphics and illustrations and other content are owned by IE News Service, LLC and/or its sponsors, and are protected by United States and international copyrights, trademarks and other proprietary rights. When any User downloads this content, User does so under a license that is revocable by Provider at any time in the sole discretion of Provider, and User acquires no rights other than the limited usage rights set forth in this Agreement.
  3. Permitted Uses of Information.  User and registered members may use the articles and associated images provided on www.instantedits.com in their own publications and websites for noncommercial purposes.  In exchange, Users and registered members are asked to email a PDF file of the published article to editor@instantedits.com or mail a tear sheet to IE News Service, LLC, 19825 North Cove Road, #138, Cornelius, NC, 28031. Websites must provide tracking information upon request.    User should contact editor@instantedits.com for more information.  When running an article, Provider requires that User retain the Provider (IE News Service) byline in the style commonly used in User’s publication and/or website. Sponsor and/or product names must be retained in the article, and mandatory photo credits must be given in the style commonly used in User’s publication and/or website.  Provider, in its sole discretion, may require that User remove content if a Sponsor requests such removal.
  4. Non-permitted Uses of Information.  User shall not engage in or do any of the following:
    1. Publish photos without the specific article with which said photos are associated.
    2. Alter the content (text or images) in a manner that changes its intended meaning or that defames or distorts the business or reputation of Provider and/or its sponsors or in a manner that could be construed to be libelous, pornographic, defamatory, immoral or fraudulent.
    3. Remove Provider attributions or symbols.
    4. Defame, distort or manipulate any Photo on Provider’s Web site.
    5. Post Photo(s) separately. Photo(s) must accompany the specific article with which they are distributed, and may not be used in any other capacity.
    6. Use the Content as part of a trademark, service mark, or logo.
    7. Re-sell, distribute or sub-license the Information or Services provided by Provider to any third party without acceptance by the third party of the terms of this License Agreement.
    8. Use the Information and Services of Provider if you are a competitor to Provider.
    9. Use the Content in a way that disparages or devalues Provider or its clients’ business, reputation or goodwill 
  5. Indemnification.  User shall indemnify and hold harmless Provider, its affiliates, officers, employees, and representatives against any and all claims of liability from and against any losses, costs, damages, and expenses, including reasonable attorney’s fees and court costs, resulting from any activity relating to User’s use of www.InstantEdits.com or any violation of these terms by User or any other individual or organization accessing the site through User’s account.
  6. Disclaimer of Warranties.  The content provided by Provider on www.InstantEdits.com is provided “as is” without warranties of any kind, express or implied.  Provider does not guarantee that its services shall be provided without interruption or are error-free or that its content is error-free. Provider shall not be held liable for any interruption in services. Further, Provider does not warrant that its site or servers are free of any computer viruses or other harmful components.
  7. Refusal of ServiceProvider reserves the right to refuse service to any publication or website for any reason, including but not limited to those deemed to include racist or hate-related material, pornography or adult-oriented content. Provider reserves the right to revoke User’s registered member status at any time for any reason, in Provider’s sole discretion.
  8. Termination of Service and Agreement. Provider does not guarantee that specific content will remain available and is entitled to terminate all or any of its services at any time, without prior notice.
  9. Entire Agreement.  This Agreement constitutes the entire agreement between the parties hereto regarding the subject matter hereof and terminates, supercedes and replaces in their entirety all other documents, agreements, instruments and contracts of every kind which pre-date the date of this Agreement.
  10. Severability.  In the event any provision of this Agreement to any extent be determined through a final order of a Court of competent jurisdiction to be invalid or unenforceable, such invalid or unenforceable provision shall be deemed severed herefrom and the remainder of this Agreement shall remain valid and enforceable according to its terms to the full extent permitted by law.
  11. Choice of Law/Choice of Forum.  This Agreement shall be governed, construed and enforced in accordance with the laws of the State of North Carolina.  The parties agree that the Superior Court seated in Mecklenburg County, North Carolina shall be a proper forum and venue for the resolution of any disputes which may arise hereunder.
  12. Headings.  The headings contained in this Agreement are solely for the purpose of reference, are not part of this Agreement and shall not in any way affect the meaning or interpretation of this Agreement.
